1. Introduction
Welcome to Onile, operated by Ereko Labs ("we," "our," or "us"). Onile is a property management platform that connects landlords, tenants, property management companies, and domestic workers across Nigeria. By accessing or using our website, mobile application, or any of our services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
2. Definitions
- "User" means any individual or entity that registers for an account or uses the Platform.
- "Landlord" means a User who lists properties for rent, sale, or lease on the Platform.
- "Tenant" means a User who searches for, applies to, or occupies a property listed on the Platform.
- "Property Management Company" means a business entity that manages properties on behalf of property owners through the Platform.
- "Domestic Worker" means a User who provides household services (such as cleaning, cooking, childcare, security, or driving) and is managed through the Platform.
- "Listing" means a property advertised on the Platform by a Landlord or Property Management Company.
- "Services" means all features, functionalities, and tools provided through the Platform.
3. Eligibility
To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By registering, you represent and warrant that all information you provide is accurate, current, and complete.
If you are using the Platform on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate and truthful information during registration.
- Keep your password secure and not share it with any third party.
- Notify us immediately of any unauthorised access to or use of your account.
- Not create multiple accounts for fraudulent or deceptive purposes.
We reserve the right to suspend or terminate your account at our discretion if we suspect violation of these Terms or any applicable law.
5. Roles and Responsibilities
5.1 Landlords
Landlords are responsible for ensuring that all Listing information is accurate, lawful, and not misleading. Landlords must comply with all applicable Nigerian property and tenancy laws, including the Lagos State Tenancy Law (where applicable) and other relevant state legislation. Landlords shall not discriminate against prospective tenants on the basis of ethnicity, religion, gender, disability, or any other protected characteristic.
5.2 Tenants
Tenants agree to use the Platform in good faith when searching for and applying to properties. Tenants shall provide accurate personal information, including identity verification documents when required. Any rental agreements entered into through or in connection with the Platform are between the Tenant and the Landlord or Property Management Company directly.
5.3 Property Management Companies
Property Management Companies may use the Platform to manage properties on behalf of property owners. They are responsible for ensuring that all team members authorised to access the Platform comply with these Terms. Property Management Companies assume full responsibility for the accuracy of Listings they manage and for the conduct of their team members on the Platform.
5.4 Domestic Workers
Domestic Workers may be invited to the Platform by Landlords or Property Management Companies. Domestic Workers agree to provide services in accordance with any agreements made with their employer. The Platform facilitates communication and management between Domestic Workers and their employers but is not a party to any employment relationship.
6. Property Listings
All Listings on the Platform must accurately describe the property, including its location, condition, amenities, pricing, and availability. We do not independently verify the accuracy of Listings and are not responsible for any errors, omissions, or misrepresentations by Landlords or Property Management Companies.
We reserve the right to remove or modify any Listing that violates these Terms, is reported as fraudulent, or does not meet our quality standards.
7. Identity Verification
To enhance trust and safety on the Platform, we may require Users to verify their identity through government-vetted and approved identity verification providers. This may include verification of your National Identification Number (NIN) or other government-issued identity documents.
By submitting identity documents for verification, you consent to the processing of your personal data by our verification partners in accordance with our Privacy Policy. A verification fee may apply for non-premium Users. Identity verification is a prerequisite for certain actions on the Platform, such as submitting rental applications.
8. Payments and Fees
Certain features of the Platform may require payment, including but not limited to subscription plans, identity verification fees, and premium listing services. All payments are processed through a trusted payment service provider that facilitates easy, fast, and secure online and in-person payments for African businesses.
All fees are quoted in Nigerian Naira (₦) unless otherwise stated. Fees are non-refundable unless explicitly stated or required by applicable law. We reserve the right to change our fee structure with reasonable prior notice.
Onile may charge a platform service fee on certain transactions facilitated through the Platform. The applicable fee percentage will be clearly disclosed before any transaction is completed.
9. Subscription Plans
Onile offers various subscription tiers that provide access to enhanced features and benefits. Subscription details, including pricing and included features, are available on our Pricing page. Subscriptions may be billed monthly or annually and will auto-renew unless cancelled before the end of the current billing period.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
10. Intellectual Property
All content, designs, logos, trademarks, software, and other materials on the Platform ("Onile Content") are owned by or licensed to Onile and are protected by Nigerian and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Onile Content without our prior written consent.
You retain ownership of any content you submit to the Platform ("User Content"), including property photos, descriptions, and reviews. By submitting User Content, you grant Onile a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such content in connection with the operation of the Platform.
11. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Post false, misleading, or fraudulent Listings or information.
- Harass, abuse, or threaten other Users.
- Attempt to gain unauthorised access to the Platform or other Users' accounts.
- Use automated tools or bots to scrape, collect, or extract data from the Platform.
- Circumvent or disable any security features of the Platform.
- Engage in money laundering, fraud, or any other financial crime through the Platform.
- Impersonate another person or entity.
12. Disclaimers
The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's availability, reliability, accuracy, or fitness for a particular purpose.
Onile does not act as a real estate agent, broker, landlord, or employer. We are a technology platform that facilitates connections between Users. We do not guarantee the quality, condition, or legality of any property listed, the truthfulness of Listings, or the ability of any party to complete a transaction.
13. Limitation of Liability
To the fullest extent permitted by Nigerian law, Ereko Labs (trading as Onile) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, loss of data, property damage, personal injury, or any disputes between Users.
Our total liability to you for any claim arising from or relating to these Terms or the Platform shall not exceed the amount you have paid to Ereko Labs in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Ereko Labs (trading as Onile), its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any rights of a third party.
15. Termination
You may terminate your account at any time by contacting our support team. We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, indemnification, and limitations of liability.
16. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation under the Lagos Court of Arbitration rules.
If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The seat of arbitration shall be Lagos, Nigeria.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, for any legal proceedings arising out of these Terms.
18. Data Protection and Privacy
We are committed to protecting your personal data in accordance with the Nigeria Data Protection Regulation (NDPR), the Nigeria Data Protection Act 2023 (NDPA), and the European Union General Data Protection Regulation (GDPR) where applicable to Users in the European Economic Area.

19. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Onile regarding your use of the Platform.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
